受“TONGBAO（SINGAPORE）SHIPPING PTE.LTD”委托，定于北京时间2016年11月23日9 时起至2016年11月24日9时止（延时除外），在宁波船舶交易市场船舶在线竞拍网（网址：www.shipbid.net）公开转让“TONGBAO ODYSSEY”船。现就有关的网上竞价事宜敬告各位竞买人：
一、本《竞价须知》，竞买人应认真仔细阅读，了解本须知的全部内容。
二、本次竞价活动遵循“公开、公平、公正、诚实守信”的原则，具备法律效力。参加本次竞价活动的当事人和竞买人必须遵守本须知的各项条款，并对自己的行为承担法律责任。
三、凡具备完全民事行为能力的公民、法人和其他组织均可参加竞买。
如参与竞买人本人不直接参与线上竞拍，可委托代理人（具备完全民事行为能力的自然人）进行。如委托不成立，委托代理人应承担相关法律后果。因不符合条件参加竞买的，由竞买人自行承担相应的法律责任。
四、“TONGBAO ODYSSEY”船以现状拍卖。
该船按现状移交给买方（包括船上的备品备件及剩余燃料）。卖方在船舶交接后，自行解除船舶相关保险。TBODS安全管理证书、保安证书、海事劳工证书将于11月11日到期。
五、当报名达到两家（含两家）以上时采取竞价拍卖方式进行转让，报名只有一家时采取协议转让方式。
六、优先购买权人参加竞买的，应于开拍前2天向委托方“TONGBAO（SINGAPORE）SHIPPING PTE.LTD”提交具有优先购买权的合法有效的证明，资格经审查确认后才能享有优先购买权，逾期不提交的，视为放弃本标的物优先购买权。
七、与本标的物有利害关系的当事人可参加竞拍，不参加竞拍的请关注本次竞拍活动的整个过程。
八、竞拍前竞买人需登录宁波船舶交易市场船舶在线竞拍网（网址：www.shipbid.net）注册报名并交纳保证金。竞拍成交的，本标的物竞得者（以下称买受人）交纳的保证金将自动冲抵船舶定金，其他竞买人保证金如数退还（不计利息）。未成交的（即流拍的），竞买人的保证金如数退还（不计利息）。保证金退返所涉及的手续费由竞买人自行承担。若以开具银行保函的方式代替交纳保证金，保函格式按照拍卖人格式要求出具。
九、本次竞拍活动设置延时出价功能，在竞价活动结束前，每最后5分钟如果有竞买人出价，就自动延迟5分钟。
十、竞拍平台对标的物所作的说明和提供的视频资料、图片等，仅供竞买人参考，不构成对标的物的任何担保。所以请竞买人在拍卖前必须仔细审查拍卖标的物，认真研究查看所竞买标的物的实际情况，竞买人一旦作出竞买决定，即视为已完全了解标的的现状，并接受标的物的现状和一切已知及未知的瑕疵。
对标的能否办理过户手续以及办理时间等情况，请竞买人在竞买前自行到相关职能部门咨询确认，因标的物现状及存在瑕疵等原因不能或者延迟办理过户手续及办理二次过户造成费用增加的后果自负，竞拍平台不作过户的任何承诺，不承担过户涉及的一切费用。
十一、竞拍成交后，买受人视为接受《船舶买卖合同》的基本条款，具体细节也可与委托人进行商议。买受人必须在竞拍成交后5个工作日内到宁波船舶交易市场签订《成交确认书》，并与委托人签订《船舶买卖合同》，买受方须向宁波市船舶交易市场有限公司支付成交价0.8%的买受佣金。
十二、付款根据委托方要求的分期付款方式：首期（转让总价款的20 %）在买受人竞得该船之日起5个工作日内支付；剩余价款在合同订立后 15个工作日内付清。在买受方付清所有款项双方即可交船并签订交接协议书。卖方承诺在签订船舶交接协议后，15个工作日内完成船舶的全部注销手续，买方承诺配合卖方办理相关注销手续。买方承诺配合卖方办理相关注销手续。涉及到有关进出口贸易手续的买卖，船款的划付须按照国家相关政策执行。
十三、买受人逾期未支付定金及余款的，保证金不予退还，保证金在扣除宁波市船舶交易市场有限公司的佣金及其他损失后归委托方所有。宁波市船舶交易市场可以受委托方委托重新转让标的物。重新转让时，原买受人不得以本人或他人名义参加竞买。
十四、买受人付款后应及时办理标的物的交接手续，并办理过户手续，逾期不办理的，买受人应支付由此产生的费用，并承担标的物发生损毁、灭失等一切风险。
十五、本次拍卖活动计价货币为美元，在拍卖标的物交割、过户时所发生的全部税费由买受人自行承担。
十六、参加竞买的人应当遵守本须知的规定，不得阻挠其他竞买人竞拍，不得操纵、垄断竞拍价格，严禁竞买人恶意串标，上述行为一经发现，将取消其竞买资格，并追究相关的法律责任。
十七、根据法律规定，委托方有权在竞拍开始前中止或撤回竞拍。
十八、凡发现拍卖中有违规行为，可如实举报。

Bidding Instructions
Entrusted by TONGBAO（SINGAPORE）SHIPPING PTE. LTD, MV TONGBAO ODYSSEY will be bidded on “SHIPS ON-LINE AUCTION” (www.shipbid.net) of Ningbo Shipping Exchange Market Co., Ltd for publicly transfer from 09:00 on 23rd Nov, 2016 to 09:00 on 24th Nov, 2016 (except delay). Biding Instructions for bidding on line now is put up for each bidder:
1. The bidders shall carefully read this Bidding Instructions, and fully understand the whole content.
2. This bidding activity, in the principle of Openness, Fairness, Justice, Honest and Trustworthy, has the legal effect. The participating parties and the bidders of this activity must abide all the articles of this Instructions, and bear legal responsibility for their own actions.
3. The bidders to participate shall be the citizens with full capacity for civil conduct, legal persons and other organizations.
If the bidder himself cannot participate in the bidding on line, he can entrust agent (nature person with full capacity for civil conduct) to bid. The entrusted agent shall bear the relevant legal consequences if the entrust does not set up. The bidders themselves shall take corresponding legal responsibilities if they are not eligible to participate in the bidding.
4. Bidding against current condition of MV TONGBAO ODYSSEY
The ship will be handed over to the Buyer against current condition (including spare parts and remained bunker on board). The Seller himself shall remove the ship’s related insurance after delivery. Safety Management Certificate, International Ship Security Certificate and Maritime Labor Certificate of TBODS were valid until 11th Nov, 2016.
5. Transfer with bidding if there are more than 2 (including 2) buyers, while direct transfer as agreed if there is only 1 buyer to apply.
6. The Buyers with preemptive right to participate in the bidding shall submit legal and valid proof of preemptive right to the Entrust “TONGBAO（SINGAPORE）SHIPPING PTE.LTD” 2 days before bidding. The preemptive right will not be in valid until approved, and be regarded as abstaining from preferential right if the proof was not submitted within the time limit.
7. The interested parties having a stake in the subject matter can take part in this auction, and those not participate in bidding please pay attention to the whole process of the auction.
8. The bidders need to log in the “SHIPS ON-LINE AUCTION” (www.shipbid.net) of Ningbo Shipping Exchange Market Co., Ltd to register and pay the deposit before bidding. If the bidding target is sold, the deposit from the winner of the bidding (hereinafter referred to as the Buyer) will be automatically taken out as deposit of the purchase price. The deposit from the other bidders will be refunded without interest. If the bidding passed, the deposit will be refunded to the bidders without interest. The handling fee to refund the deposit shall be for the bidders’ account. If the BANK GUARANTEE handed in as bidding deposit, its format shall be in accordance with the requirements issued by the auctioneer.
9. This bidding sets function of delay offer. 5 minutes will be delayed automatically if there is any bid at every last 5 minutes of the bidding.
10. The bidding target introduction, video data, pictures, etc. offered by the auction organization are used for reference only, not to guarantee of the target. The Buyer shall carefully inspect the bidding target, well knowing its real situation. Once the bidder decides to participate in the bidding, he will be regarded to fully understand the target condition, and accept the status quo and the defects of all known and unknown. The Buyer himself shall check with the relevant functional departments whether the target can transfer or not, and the time for transfer. The Buyer shall take responsibilities to the consequences of no transfer or delay for transfer procedures because of present situation or existing defects of the bidding target, or of additional cost due to secondary transfer. The auction organization will not ensure transfer formalities, and not cover any cost.
11. The Buyer has been regarded to accept the basic clauses of Ship Sale & Purchase Agreement after the bidding, and can negotiate the details with the Seller as well. The Buyer shall sign Purchase Confirmation at Ningbo Shipping Exchange Market Co., Ltd within 5 working days after the bidding, and sign Ship Sale & Purchase Agreement with the Seller. 0.8% of the purchase price regarded as commission shall be paid by the Seller to Ningbo Shipping Exchange Market Co., Ltd
12. Payment requested by the Seller: The first phase (20% of total purchase price) shall be paid within 5 working days after bidding; The balanced amount of the ship to be paid up within 15 working days after signing the Agreement. The ship will be handed over once the Buyer pays up the entire amount and signs the Delivery Agreement. The Seller promises to finish cancellation formalities in 15 working days after signing the Delivery Agreement, with the Buyer’s commitment to cooperate. If the trading business involves import and export formalities, the purchase price of the ship shall be paid against relevant national policies.
13. The deposit will not be refunded if the Buyer does not pay the deposit and balanced purchase price in due time. The deposit deducted the commission for Ningbo Shipping Exchange Market Co., Ltd and other losses will be owned by the Seller. Entrusted by the Seller, Ningbo Shipping Exchange Market Co., Ltd can re-bid the original target, and the original Buyer in the name of himself or others shall not participate in the bidding.
14. The Buyer shall attend to the delivery formalities and transfer procedures in a timely manner after payment. The Buyer shall pay the cost resulting not deliver or transfer in due time, and take the risk of any damage or loss of the bidding target.
15. The dominated currency of this auction is US dollar. All the taxes incurred during delivery and transfer of the bidding target shall be for the Buyer’s account.
16. The bidders shall abide by the provisions of this Instructions. They are not allowed with obstructions for others to bid, manipulation or monopoly, malicious collusion. Any violator to be found will be withdrawn the qualification of the bidding, and shall be investigated for legal responsibility.
17. The Seller has the right to suspend or withdraw the bid before the auction as prescribed by law.
18. Whoever finding irregularities in the bidding can truthfully report.
